Last updated · 1 October 2026

FSC prohibits bribery and corruption and requires transparent, properly documented business dealings.

01Purpose and scope

This Policy applies to all FSC personnel, controlled entities and third parties acting for or representing FSC. It covers dealings with public officials and private-sector counterparties in all markets.

Business partners must not offer, promise, give, request or accept an improper advantage connected with FSC business.

02Prohibition

Bribery includes offering, promising, giving, requesting or accepting anything of value to improperly influence a decision or secure an advantage. It may be direct or through an intermediary and need not involve cash.

Kickbacks, secret commissions, facilitation payments and concealment of corrupt payments are prohibited. A payment cannot be authorised merely because it is customary or requested by a counterparty.

03Public officials

Extra care is required in interactions with public officials, including customs, port, immigration, licensing and state-owned entity personnel. No benefit may be offered to expedite a routine action.

Any legitimate fee must be paid to the proper entity, supported by an official receipt and recorded accurately. Seek Compliance approval where a proposed interaction or payment is unclear.

04Gifts and hospitality

Gifts, meals, travel and entertainment must have a genuine business purpose, be reasonable and proportionate, lawful, infrequent and transparently recorded. Cash and cash equivalents are not permitted.

Obtain pre-approval where required by local procedures, particularly for public officials, travel, high-value hospitality or sensitive procurement and tender activity. Decline or return inappropriate offers and report them.

05Third parties and due diligence

FSC may be held responsible for misconduct by agents, brokers, consultants, customs intermediaries and other representatives. Risk-based checks must be completed before engagement and refreshed when circumstances change.

Use written contracts describing legitimate services and compensation. Fees must be commercially reasonable, paid to a verified account in the contracting party’s name and supported by evidence of work.

06Charitable and political contributions

Contributions or sponsorships must not be used to influence a decision or channel an improper benefit. They require documented purpose, due diligence, approval and accurate recording.

Company funds, resources or facilities must not be used for political contributions except where explicitly lawful and authorised under FSC governance procedures.

07Books, records and controls

All transactions must be recorded accurately, completely and promptly in the correct accounts. False descriptions, off-book funds, misleading invoices and undocumented payments are prohibited.

Managers must maintain appropriate approvals and controls, including segregation of duties where practicable. Finance records and supporting documents must be retained under applicable schedules.

08Training, monitoring and reporting

Relevant personnel receive training proportionate to their exposure. FSC may monitor controls and transactions to assess compliance and address weaknesses.

Report suspected bribery promptly to Compliance or through Speak Up. FSC will assess reports, preserve relevant information and investigate where appropriate, while protecting confidentiality as far as practicable.

09Enforcement and contact

Violations may result in disciplinary measures, termination of third-party relationships, recovery of losses and referral to competent authorities. Retaliation against a good-faith reporter is prohibited.
